You need to consult with an attorney/ tax professional. The fact that owners of an LLC will reside in California presents some "special' challenges - which might cause you to reconsider your choice of structure.

If you wish to discuss your specific situation in confidence, feel free to drop me a PM or contact me directly.

you are going to need a Florida Multi-Member LLC Operating Agreement

I hope this helps

My understanding is that it dosen't matter which state a shareholder of an LLC resides in, but the Operating Agreement will need a clause which discusses that fact.

itmanishman,

Your understanding is correct - but incomplete. While it is generally true that, from an ownership standpoint, it doesn't matter in what state a member (unit holder) resides - since an LLC is a pass through structure, for tax purposes and considerations, it can make a BIG difference.
