StartupNation "Elevator Pitch" Contest Rules, Terms & Conditions

1. SPONSOR: StartupNation, Inc., 3095 Old Plank Road, Milford, MI 48381, USA.

2. ELIGIBILITY: StartupNation Elevator Pitch Contest (the "Contest") is open only to legal residents of the fifty (50) United States (including D.C.) who are at least eighteen (18) years old at the time of entry. All employees, agents, and contractors of StartupNation, LLC, Citrix, Toshiba, all their parent and affiliate companies as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible. All applicable federal, state and local laws and regulations apply. Void where prohibited or restricted.

3. CONTEST PERIOD: The Contest begins at 12:00 p.m. Eastern Time ("ET") on January 21, 2009 and ends at 11:59 p.m. Pacific Time (“PT”) on April 7, 2009 (the "Contest Period"). The Contest Period consists of a video/audio submission and voting phase which begins at 12:00 p.m. Eastern Time ("ET") on January 21, 2009 and ends at 11:59 p.m. Pacific Time (“PT”) on March 20, 2009 (the "Video Submission Phase"); a judging period which begins at 12:00 p.m. Eastern Time ("ET") on March 21, 2009 and ends at 11:59 p.m. Pacific Time (“PT”) on April 7, 2009 (the "Voting Period").

4. CONTEST SUBMISSION:

a. Video/Audio Submission Phase: During the promotion, you may visit http://www.startupnation.com/elevator-pitch-2009/enter to create a contestant’s profile. Creating a contestant’s profile is free. Follow the links and instructions to submit your elevator pitch video featuring the business idea for which you would like to raise financing (the "Submission"). Participant must be the owner of the existing business or must have rights to the intellectual property and/or concept around which the business will be built in the future.
Submission Requirements:

  • Participants must complete a contestant’s profile at StartupNation.com.
  • Submission must be provided in video or audio form.
  • Person making the video or audio pitch must have all rights to the business/business concept included in the pitch.
  • Submission must not exceed 2 minutes in length.
  • Content contained within the submission must comply with StartupNation’s general community rules and regulations located at: http://www.startupnation.com/pages/about/TermsofUse.asp.

During the registration process, each participant will be required to click where indicated to confirm that such participant agrees to be bound by these Official Rules. Any Submission that includes content that is deemed inappropriate, indecent, obscene or otherwise does not comply with the StartupNation Terms of Service located at http://www.startupnation.com/pages/about/TermsofUse.asp, as determined by Sponsor in its sole discretion, will not be eligible. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible, or misdirected entries which are void. In addition, by entering, contestants represent and warrant that the entries that they submit: are their own original creations, do not infringe any other person's or entity's rights and has obtained permission from the people featured in the Submission to enter this Contest.

Limit: Each participant may enter one (1) Submission during the Contest Period. Any attempt by any Participant to enter more than one (1) Submission by using multiple/different email addresses, identities, registrations, or any other methods will void all Submissions entered by that Participant and that Participant, at the sole discretion of Sponsor, may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to any registration, the authorized account holder of the email address used to register will be deemed to be the registrant or Participant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. The potential winners may be required to show proof of being the authorized account holder.

b. Voting Period: Sponsor will post Submissions that comply with these Official Rules at http://www.StartupNation.com. During the Voting Period, visitors to the website will be invited to rate their favorite Submission, taking into account the following judging criteria to determine the finalists: (50%) quality of presentation, (25%) quality of business, and (25%) quality of perceived investment attractiveness ("Finalist Judging Criteria"). A vote is cast by rating the elevator pitch. Finalists: The Participants whose Submissions are among the top one hundred highest vote recipients during the Voting Period will be the contenders for the Grand Prize consideration (the "Potential Finalists").

Limit: Visitors to the site may vote one (1) time per day for each Submission during the Voting Period. Voters must be at least eighteen (18) years of age. In the case of a tie, the judges will determine the finalist based on the winner with the Submission that has the best presentation.

5. JUDGING/REQUIREMENTS OF CONTEST WINNERS: The Top 100 contestants will be deterimed by multiplying the total number of daily votes they accumulated by their average star rating. From among the top 100, there will be five (5) winners selected by the judges. Winners will be notified by email on or about April 7, 2009. Winners must comply with all contest rules as published. The winner will be required to sign and return an Affidavit of Eligibility, Liability and Publicity Release, where permitted, within one (1) day from the date of notification. In the event that any potential winner is disqualified for any reason, the prize will be awarded to a Participant to be selected by the judges. Winners agree to conduct any and all media interviews related to the Contest if requested and not disparage StartupNation, GoToMeeting.com, or Toshiba during any such interviews. Failure to comply with this requirement for any reason or return of prize notification or prize as undeliverable will result in forfeiture of any prize, and the prize will be awarded to the Participant to be selected by the judges. Acceptance of prize shall constitute and signify each winner's agreement and consent to the Sponsor and their designees, the right to use each winner's name, city/state, likeness, voice, biography and photographs without any compensation from the Sponsor, except where prohibited by law.

6. PRIZES: FIVE (5) PRIZES: Toshiba Satellite Pro S300 laptop computers. Approximate Retail Value: Five (5) units at $529 each. GoToMeeting Annual Plan, which includes unlimited online meetings with up to 15 attendees per meeting. Approximate Retail Value: Five (5) units at $468 each. Values based on MSRP. No cash equivalent will be made available on prizes. Prizes are non-transferable. No substitution will be made except as provided herein at the Sponsor's sole discretion. Sponsor reserves the right to substitute any listed prize or prize component for one of equal or greater value if a designated prize or component should become unavailable for any reason. Additional prizes include pre-arranged, live, online presentation opportunities for five (5) finalists to present their business opportunities to real investors. No commitment of funding is promised. Investment decisions of said investors will be made in accordance with their own criteria and interest levels. Any investment interest expressed by said investors will be provided directly to the entrepreneur and pursued separately from this contest. Prizes consist of only those items specifically listed as part of the prize - any item, feature, cost or expense not specifically listed as part of the prize is the sole responsibility of the winner. TOTAL ARV OF ALL PRIZES: $4,985.

7. GENERAL RULES: By entering or participating in the Contest, Participants agree to be bound by these Official Rules. Sponsor assumes no responsibility for electronic hardware, programming or software malfunctions, or failures, or line connections, accessibility or availability, or technical failures of any kind, or unauthorized human intervention, or the incorrect or inaccurate capture of any Submission or other information, or for the failure to capture any such information. Sponsor is not responsible for: (1) any incorrect or inaccurate information, whether caused by Participants, or by any of the equipment or programming associated with or utilized in the Contest; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the Submission process or the Contest; or (4) technical or human error which may occur in the administration of the Contest or the processing of entries. Further, if, for any reason, the Contest is not capable of running as planned by reason of infection by virus, bugs, worms, tampering, unauthorized intervention, fraud, technical failures, or any other causes which, in the sole opinion of the Sponsor, may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, Sponsor reserves the right, at their sole discretion, to cancel, terminate, modify or suspend the Contest, and select the winner for the Contest, from the entries received prior to the action taken or in other such manner as deemed fair and appropriate by Sponsor.

Participants, by participating in this Contest, hereby waive and release, and agree to hold harmless, Sponsor, Citrix, Toshiba and their respective parents, subsidiaries, affiliates, distributors, advertising and Contests agencies and all of their respective officers, directors, employees, representatives and agents, from and against, any and all rights, claims and causes of action whatsoever that they may have, or which may arise, against any of them for any liability for any matter, cause or thing whatsoever, including but not limited to any injury, loss, damage, whether direct, compensatory, incidental or consequential, to person, including death and property, arising in whole or in part, directly or indirectly, from their acceptance, possession, use or misuse of the prize in the Contest, or their participation in the Contest, or their participation in any Contest or prize related activity, or any travel related to the Contest or any travel for any prize related activity. Winner also further acknowledges that Sponsor, their affiliates, subsidiaries, employees, officers, directors, and Contests and advertising agencies have neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, expressed or implied, in fact or in law relative to any prize or this Contest including but not limited to quality, condition or fitness for a particular purpose. Except where prohibited, Participant agrees that any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved under the laws of the State of Michigan, without respect to any conflict of law issues, and Participant agrees that such shall be resolved individually, without resort to any form of class action, and exclusively by the Federal and State Courts of Oakland County, Michigan.

9. LICENSE TO CONTENT: StartupNation does not claim ownership of user submitted content (including text, audio, video, and otherwise) posted, transmitted or otherwise made available by you via the StartupNation website. By submitting content to StartupNation.com, you hereby irrevocably grant StartupNation a worldwide, exclusive, royalty-free, fully paid, restriction free license from the date you provide us with your material to distribute, reproduce, copy, record, modify, add to, combine with other materials, remove, adapt, publicly perform, publicly display, broadcast, exhibit, sublicense, freely assign, create derivative works from and otherwise use and exploit any of same, or any part thereof, in any medium now known or hereinafter known, in any language and by any means or manners now or hereafter developed. You also hereby grant each user of the StartupNation website a non-exclusive license to access your submitted content through the StartupNation website, and to use, reproduce, distribute, display and perform such content as permitted through the functionality of the website and under the StartupNation Terms of Use. You acknowledge that you will not exploit or authorize anyone else to exploit the user-submitted content in any commercial medium without StartupNation’s prior written consent.
