I have clients operating eCommerce Businesses that are completely Virtual, no Bricks and Mortar, in their Home Office. I understand there are tax issues to consider in deciding whether to form a Corporation or an LLC but what are the implications in terms of legal liability? Any ideas or resources would be welcome. Thank you!

Hi Sandra. Here`s an article I recently wrote about the occasions when forming an LLC might not be the right move.

For a more in-depth discussion of the Pros and Cons of staying a sole proprietorship vs forming an LLC/C-Corp/S-Corp, feel free to download my tax guide for sole proprietors. (Skip to the third section of the book. It`s entirely about business structures, and it has some good info about legal ramifications, not just tax info.)

Hope you find it helpful!

[Edit: By the way, for promotional purposes, it`s pretty much free at the moment, as it`s going to be available in paperback on Amazon within a few weeks.]

Here is a comparison chart.

Hope that this helps you!
