Hey everyone, I`m new here. My name is Steve and I am wanting to begin a business in the state of Ohio. I see that the Secretary of State makes it very easy to find all of the paperwork online, and none of it looks too difficult to fill out, but I am having trouble determining WHAT paperwork I need to fill out. I was hoping some people could help point me into some directions (I have a feeling there`s not going to be simply one right direction...)

I am interested in starting a service business - I won`t need to hold inventory, but may make an occasional sale. I am pretty sure I want to form an LLC, as I have a partner that will be assisting me to form the company.

I know there`s a paper for forming an LLC. I know there is a paper for forming a DBA. 

Do I need to form a DBA if I`m going to operate using the name of the LLC?  

Can I form an LLC for a company name that was previously registered, but listed as "dead"? (I believe that means the company is out of business, and has been for over 10 years)      There`s one name I came up with that is short, simple, and pretty catchy. It is also the name of a business in Texas, and I`m sure other states may have a company called this too.

Do I file with just the Secretary of State, or do I need to file additional paperwork with my county, or my township? (I do not live in a city)

I assume an EIN would make sense, and I`m told these are free to file with the IRS.

I plan on operating out of my home, and I will not be offering the ability for clients to come to my "office". I do live in an apartment . . . but they seem alright with the fact that I am running this out of my home, as long as I`m not disturbing my neighbors (one of which is the property manager, conveniently) or creating any additional traffic.

I have been operating "under the table" if you will, providing in-home computer services for people. While I still plan on doing this, I believe I want to begin supporting businesses as well, and I just want to make sure that everything is legit so that when they write the check, neither of us get slack if there`s ever any kind of audit.

I haven`t written any kind of business plan yet. I haven`t sat down with my partner to determine who owns what kind of percentage, how we`ll get paid, etc. All of this is very new to me and I`m not sure how to handle profits, losses, ownership, etc.

If there`s anything else I need to look into and haven`t mentioned it, it`s because I may be clueless.... While I may seem in the dark right now about a lot of these topics, I want to make sure I understand everything before I move forward with any of this, as this is a HUGE decision, as well as a pretty big step to take in life!

You would need to file your entity with the state of Ohio.  It`s fairly simple to form an LLC. As far as filing a DBA, that is not necessary unless you would like to operate under a different name for privacy.
 
 Is the name of the company you are looking to use within Ohio, as well? When you file your LLC, it will ask you for the name of your company. If the particular name you are interested in is unavailable, it  should tell you and possibly give you other options.

One of the big problems for many people here in the community is that they don`t know the questions they need answered. With legal matters, that can get fairly expensive, since it`s like a fishing expedition while paying an attorney`s fees.

You, on the other hand, have a specific list of clear questions. It`d be well worth your while to have a sit-down with an attorney who can directly answer all those questions exactly. With so many possible consequences to making a wrong decision in the early days of a business, why take the risk? Consider it a startup investment. :-)

Lisa - The trade name that we would like to use WAS used back in the 1980s, but a form is on file with the Secretary of State asking that "Trade Name Registration be cancelled".  In your experience, does it seem as though this name is available to be used, or since it is still in the master list of trade names, does that mean it can never be used again?

Craig - I agree that I`ll eventually need to speak with a lawyer regarding some of these questions, but at the same time - the startup investment piggy bank isn`t very full. I was hoping to get some of these questions answered by some of the nice professionals that frequent these forums, as I do see that many of them ARE lawyers or business owners.


If anybody on here is a lawyer (preferably in Ohio) and would like to offer assistance, drop me a line!
