Dear all,

I wanted to know if any of you have any experience with Retainer Fee agreements between 2 companies. 

I am aware this model is usually used in law firms but I am specifically interested in this model in the IT and Graphic Design worlds.

I would like to know any information about :

- The Retainer Fee Model

- Its variations

- How to calculate the fees, if it is by hours or project or monthly

- How do companies work out any agreement to avoid conflict of interest (because usually the 2 companies are working in the same field and can be competitors)

- How to protect development, creativity and art work copyrights

- How to manage this business relationship (who is responsible for requirment gathering, proposals, client relationship, etc.)

I am fairly new to this model and I am very open for any insight I can get from you guys to help me understand it better.
