Raising Financing with Private Placements

Hey everybody.

I actually decided to sign up here because I came across a post “Venture Capital & Angel Investors”, where “fastventures” or “Mark” made some very interesting comments about raising funds with a private placement or regulation D offering.

I’m not in the restaurant business, but I’ve done some research on this and it seems like a great opportunity for someone who’s willing to put in the legwork.

I’ve actually started several successful businesses and never used other people’s money, but with my latest project, I will need it.

Does anybody here on StartUp Nation have any experience with private placements?

I`m sure there are several folks on SuN that have experience including us.
 
Doing a private placement isn`t rocket science, but it`s not a good place for a learn while doing approach either - since errors or omissions can have far reaching and long lasting impact.

I agree with Robert, accessing US capital markets with a private placement isn’t rocket science, but its no playing ground for the inexperienced either. There are many factors to consider including the actual terms of the offering, the exemption or rule for which you want to qualify, and the strategy based on which you plan to approach potential investors.

I am a big proponent of this financing vehicle, especially since it’s pretty much the only viable alternative to traditional venture capital investments and soliciting financing from angel investors. Moreover, since you will likely deal with high-net-worth individuals who will be investing their own money rather than professionals who are seeking “substantial financial returns” on behalf of their clients, you will find that this is much smoother sailing. In many cases, issuers are also able to raise more money by giving up les equity, if compared to deals that are done through traditional venture capital or angel investments.

With a little guidance, drafting a Private Placement is really pretty straight forward and our Templates ensure you comply with Regulation D (Federal law). Thanks for the tip elevateventures but I decided to give Mark's PPMs a shot and their document is awesome. It comes with a complete manual and sample data all of which is explained in detail.

On top of their documents are equipped with some sort of database; meaning that I only had to replace the sample data there and it was replaced throughout the document.

Moreover, their PPMs are half the price and my attorney was impressed with the quality of the document as well.
