Hello everyone,

im new to this site, but im really glad i stumbled upon it. I live in missouri, but want to start a business in colorado. i was planning on starting an llc that would own the store i start in colorado. So my question is can i start the llc before i know where in colorado it (the store) will be. ive found out how to start an llc from the secretary of state's webiste, but it doesnt answer my basic questions. If anyone could help, please let me know.

Yes, you can start the LLC in Colorado. You will need a registered agent that resides in Colorado. There are a number of services that will do it for a fee, or you can have someone you know there (friend or relative) serve as the registered agent until you move and then transfer the agent to yourself.

There are advantages to having a registered agent that isn't you -- especially if you have a physical store. The primary one is that any service of process (lawsuits) is done to the registered agent of an LLC and you wouldn't want that in your store in front of customers.

One thing to watch out for is that if you are doing business in Missouri prior to your move, check the Missouri regulations for registering a "foreign" entity. Each state's definition of "doing business" is slightly different.

Colorado may require the actual business address in the state. you can probably call a company like MyLLC.com to see what needs to take place to ensure you get your Limited Liability Company filed properly.

Also wouldent be a bad idea to call a few accountants in colorado once the LLC is set up to ensure you build a good tream.
