Best off hiring a professional to do it honestly.  The SEC is VERY particular about PPM`s and they have to be written to the letter.  This is one of those times when it pays to hire someone credible.

I had IRA do my 505 PPM. They did everything for me, they even put me infront of investors.   I highly advice checking out there website. It`s free to talk to them about your needs, but they do charge to complete the full package. Talk to Joe W. he got me in the door over there. check out www.businessplanfunding.com

Thank you everybody for your help and advice. Since I inqured back in May, I was able to dredge up a few good specimens from a friend in the securities industry, along with a few I found on the Internet. I write for a living so I was able to compose a fairly reasonable facsimile. I am having it reviewed by a securities attorney for $1000.00...I guess this beats having to pay 10M-20M to have it done from scratch (with all the same repeated nomenclature/mumbo-jumbo)...

If you want to buy a PPM template there is no better place than www.private-placement.com. You can also have their attorney certify or review your PPM. Its a cool deal. Some of our clients use them as they are much cheaper than custom PPMs.

For the most comprehensive, investor-ready PPM templates try Elevate Ventures at www.elevateventuresllc.com/private-placement-templates.

The templates are simple and easy to use, and you can save thousands compared to using an attorney from scratch.

Still,  if you buy a private placement template you should have an attorney review the document, whether it the guys from private-placement.com or your own counsel. Just buying a private placement memorandum template and writing it yourself can be a bad thing, unless you got someone on your team who knows the rules.

I would avoid any company without an attorney on staff, and do not buy a template unless there is an attorney in the company. Only one we use, again, its private-placement.com. I am not trying to plug them, just trying to make sure no one gets into securities troubles down the road.....

We do PPM's. Custom and Templates.

We have an attorney on staff who reviews our work, or you can have your attorney review the work and we'll make any necessary changes.

We're at PPM Fast.com and/or Reg D Broker. We're the same company.

We have an A+ BBB rating for the last 5 years. We've helped raise over $500 Million in private placement capital. We've completed hundreds of PPM's.

We also do Edgar filings for attorneys and entrepreneurs.

This is a great topic and discussion. I sure would like to see more like this. It has a lot more nuts and bolt specifics than most other discussions. Lets get into the details! Please, when you reply, go into the finer points and boring details. And by all means let us know of any further reading you may recommend.  Cool
