Need help with employee contract

Hello all,

I am new to the forum. I have been listening to the podcast since a while, but never posted or got active in the forums before. I am an aspiring enterpreneur. I have a family to support and a day-job to go with it. In my free time (that is sometime between 10pm and 6am) I work on my ideas what I hope one day will come alive. Today however I got into an interesting situation. My employer decided to update the contracts and proprietary agreeements with us. I was wondering how could I find the best legal advice on what exactly is and should I sign it or request changes to it. Couldn`t think of a better place to ask this question. Would you know of a way to find somebody knowledgeable for it? Should I at all seek legal advice on it? My thinking is, yes. What do others think?

From having read posts here in the past, I`d think having an attorney (and maybe an accountant) look over the new contract is a good idea. At issue becomes the definition of proprietary work. Since you`re about to go out with your own startup, you could end up in unforeseen conflict of interest problems.

Aren`t there employment attorneys? Seems to me there are...but you`d have to do a Google search.

Craig is right in telling you to get professional help. I suggest you call your local Bar Association, tell them your needs and ask if they can refer you to someone. Most of the time there are new attorneys that will give you free advice for the first consultation.

Good advice guys. You want to make sure your employer`s agreement doesn`t overreach and assert ownership of any idea you come up regardless of whether it is after hours or using your own resources.  Most employers try to keep it fair and their agreements will only assert ownership over your ideas if they relate to their own intellectual property or if you used their systems (pc`s etc.) to develop or work on your idea.
 
Best to be careful here. If you need legal help let me know. I`m an attorney for a Fortune 50 Tech company so I`m pretty familiar with these agreements.

Thank you for your suggestions.  I will definitely look for a professional advice. For now I managed to not to sign anything, I left for vacation and did not return the contract before that, so I bought myself some time.
