NDA Agreements : freelancer or a small co

Hey guys ,

I have prepped a standard Non Disclosure Agreement for a small outsourcing project I have , however I am really anxious to have the idea protected especially that someone in another country ( india ) will be coding it and therefore possessing both the business model and the developed solution.

Anyhow , only thing I am relying on is the NDA I have.

I am in doubt whether to choose a small network of freelancers 2 - 4 who will not have a limited company and therefore will be individuals in the legal sense OR to chose a small registered company in India. I am thinking a small company would be easier to target in case later on an Intellectual Property infringement is suspected. On the other hand a small network of contractors kinda seems will be less courageous , less resources to duplicate the business ideas although why not ? . However if they did duplicate the ideas it would be harder to track them / target them.

I may be worrying about this too much.

Hi,

Yeah, you can drive yourself crazy worrying about who is or isn't honest.  In actual fact, any NDA is only as good as the people who signed it.  Infringement litigation, unless you have extremely deep pockets is not really a viable option to think about.

If your outsourcing your development through an agency such as Elance or Odesk, then you can check the reputation and work of any developers you hire.  The good ones are a bit more expensive but they get a lot of work because they have good reputations. They provide excellent results and they're honest.  They know that people outsourcing work  are worried about being ripped-off so they have worked hard to earn their reputations.

I would check out that route.

I agree with  Randy on that one. I've used Elance before for some Website work and it worked great for me. I had an Indian company do it for me. I checked their reputation and reviews previous costumer wrote about them. Got a great job done for a small fraction of what it would cost me to get it done in the US.
