We have multiple business operations, all related but currently run seperately under "doing business as" registered names. We are looking at options of changing our operations to protect assets and improve the tax situation. The businesses include a multiple farrier practice, a horse breeding/sales operation, a horse training operation, a riding/horse leasing operation, and an architectural blacksmithing operation.
Our thought is to organize in a manner that will protect the assets of each operation should one fall into trouble. In addition we would like to operate so the two primaries are receiving a single large income each rather than mutliple small incomes. My question is what would be the best way to organize these individual operations from both an accounting and legal perspective (i.e. incorporate a holding company and register the individual businesses under the holding company.)

Hi mtnhermit

The legal and Tax implications of reorganizing your businesses is depwendent on many factors. First are all of the operations in one state. If so the legal liability and asset protection will follow the particular state regulations. To the extent the operations are in multiple states then consideration of various states  may be required.  Secondly, the present form or entity will have to be ascertained to determine the restructured entity. Third, the level of profitablility for each entity would have to be calculated to determine both at a federal and state level the most efficient manner to restructure.  Your wanting to restructure makes sense from a legal and tax perspective however its a project requiring careful analysis. The answer is beyond the scope of this forum and requires you to retain a competent consultant to evaluate your businesses and restructure.

i'd take an hour and pay my local tax / business formation attorney a visit.  it's great that you are getting ideas from the community but for a situation beyond "average" like yours the professional advice is well worth paying for.  another reason is that you are likely going to establish legal entities in the state that you live in correct? if so, local advice is certainly the best

Setting up accounts is really very important when you are planning to start a new business. And, it would be really great if you are using accounting softwares to handle all of your accountings easily and plan things for your business.
