I'm considering starting an LLC in Oregon for an online business. My partner, however, lives in CAlifornia. All of our work will take place online--it is an online writing and editing business. Do we have to also file as a foreign LLC in California? Is there anyway around NOT having to file in California two?

I found this article on eZine Articles (http://ezinearticles.com/?California-Registration-Requirements-For-Foreign-LLCs&id=1392370) and it would appear that unless you have a a regular customer base in California, that you would not meet the requirements to register as a foreign LLC in California. It is always best to consult a competent attorney if you have any doubts.

With an online business, how do I know if I have a customer base is in California? I'm planning to do most of the editing and writing work electronically, so work will be sent via email. Technically, then, my customers can come from all over the country. Are there different rules for online businesses like this?
