LLC Formation - Which state is best?

Hi, I`m trying to determine which state is best to form a new LLC.  I have business partners in 3 states - TX, PA, NJ.  I hear Nevada and Delaware are low cost, but I don`t know if low cost is really the best way to evaluate location.

Members of SuN have mentioned on more then one occasion that the LLC should be formed where the business will conduct most of its business until the business is sufficiant size to reap the benefits offered by Nevada or Delaware.

Travis - thanks for the information.  I`m new and didn`t know about SuN, but I do now.  BTW - I have a Cavalier King Charles, too.  Her name is Coco; she`s a Blenheim. - Jim

My black/tan had a sister named Coco.  I called her crazy coco.  She was always barking and jumping on the rest of the liter.  I wonder how she is doing now....

From what I understand Delaware is the most corp friendly state. Most of the corporations are Delaware corporations probably for a reason.

This really depends on the type of business you plan to conduct and out of where. Nevada and Wyoming are great tax haven states, but this works best for certain businesses.

great info here -- thank you all.  special thanks for the links GregMetro.

Wyoming`s "lifetime proxy" probably is super valuable for those that need it but I`m not sure I need it right now. Vegas would be a great place to hold s/h or member meetings.  I`ll keep you posted.

By electing a New York LLC, you pick a corporate form that`s recognized by all fifty states, plus your New York LLC establishes a legal presence for your business in New York State.

Jim, One thing to note about Texas, since you will be conducting business there, is that if your LLC is formed in another state, you will still need to pay the out of state fee to Texas. I haven`t researched NJ and PA specifically, but they likely have similar requirements. Also note that if your business engages in retail sales, you will need to register for a sales tax permit for all three states that your busienss partners are in, as you have a nexus there.

Thanks Molly. There is that word again -- "nexus".  :)
