For an (start-up) entrepreneur seeking capital what is the best Entity to form (LLC, C-corp ect...)

Hello Start-up Nation,

I am in the middle of deciding to be a LLC or a C-corp, for the future i will be seeking funding from Angel Investors/VC`s, but what entity should i form my company into RIGHT NOW???

Hi Matt,

I normally recommend against forming an LLC if you think you`re going to be getting into VC land - but some in these forums would curse me for saying that and argue that LLC`s are getting much more widely used and accepted.  So the best advice is probably to talk to your attorney and accountant and lay out your plan and get their advice.  You very may well start with an S-Corp and then transfer to a C-Corp when the VC`s come to town - this is what I see most often.
