What is a Registered Agent?
A registered agent is a person or entity (other than the company who needs a registered agent) who is responsible for receiving and accepting legal documents on behalf of a business entity, and then delivering the documents to the company who it is representing. The registered agent may receive documents such as those in connection with lawsuits, or state taxes or filings that are due or required to be filed. The registered agent must be a resident of the state in which the services are rendered, or a company with an address within the state with individuals available to receive and accept the documents.
A registered agent is also known as a "resident agent" or "statutory agent." There are many service companies who perform registered agent services, including attorneys and Certified Public Accountants (CPA's). Testimonials
Who Uses a Registered Agent?
All companies need a registered agent. In most cases, a third-party agent is used. A registered agent is needed in the state where the company is formed or incorporated, as well as each additional state where the company operates (including where it has offices, sales personnel and other ongoing services). For example, many companies are formed in Delaware and Nevada, but do not have operations in these states. They will need a third-party registered agent where formed. A company will also need a registered agent where it maintains operations.
