Google Panda and Penguin now days work together to remove the spam and low quality stuff from their rankings. Whereas Google Panda is specially design apply penlty on those websites having spam backlinks or from low quality website, you can also say that it is for Off Page Techniques. And Penguin is design to remove the anchor spamming or minimize the keyword stuffing effect. Its for On=Page SEO Techniques.

The Panda update is all about over-optimization of onpage SEO factors, backlink anchor diversity and the context of those backlinks.

Penguin is about actually improving user experience. It doesn't target backlinking, it targets the result of backlinking: visitors coming on your site.

Google panda is focus mainly on-page and Penguin off-page. Panda includes pages that should be on-your site link disclaimer etc. Load speed, font size and many more factors.

Penguin is the quality of your back links including keywords.
