Good difference. mainly both are related to quality. first one is quality content and second one is quality guidelines. if your site not follow the Google rules and guidelines then Google not show in SERP.

It's nice that google is trying to weed out the crap sites and the people who try and take shortcuts to get their sites ahead of the quality sites.

There is a difference between these two Google Updates but the aim is one to stop the spamming.

Google Panda : Avoid duplicate content and low quality links for the site

Google Penguine : For stopping over optimization for the site.

Google Panda: In this Update Google focus on the content of the website.Penalized those sites which are using the copy content on their websites.Only those website survive in Google search results which are using the fresh and unique content in their sites.

Google Penguin: It is the latest update made by Google to penalized the over optimized website or blogs.keyword stuffing,link exchange are the part of the over optimization.

Many webmasters feel they have been unduly penalised. Penguin update has been in news and great minds are pondering the effects of this algorithmic change. Just a few months back the webmasters thought they had finally solved the riddle of Panda update. Seldom did they know Google would come up with a new challenge for them. According to many, if Google’s Panda update was dangerous for online businesses than Penguin update is uglier and more dangerous. Penguin seems to be more penalising then Panda.
