Any one with experience in raising capital with a SCOR (small corporate
offering) also known as Regulation D? Going semi public and raise up to one
million?

I`m familiar with some of the rules and actually have a copy of the reg at my desk, but have not read it word for word.  I must admit, I found the rules shocking at first.  Certainly a lawyer is needed.

Don`t you find interesting that this way of raising capital is hardly ever
mentioned? Yes, it sound complicated, but what if it is successful?

We have run the gauntlet of financing (banks, SBA, angel, venture, etc.) but have not heard of this route.  Are there any sites out there that describe Regulation D and the pros/cons?

Reg D is the process for obtaining capital the right way.  Most entrepreneurs are unaware of the requirements and could end up hurting their chances for big money down the road.

A SCOR offering is but one type of offering available under the Reg D exemptions as well as others in each State.

Because of the registration requirements -which often generate significant expense to complete - the SCOR offering has not met with broad usage among startup companies.

The primary advantage of SCOR (over the private placement options) is that it allows for "General solicitation"

I am seriously researching this road, but I still wounder why it is never
mentioned as another way of raising start-up capital complicated and
expensive or not.

Thank you for the link, very interesting organization and appears just (for a small fee) to want to help small businesses. We are looking for 100-200k, which sounds like Regulation D is design for.

If I had known about `D`, probably would not have spent as much time at the banks.
